These Terms of Service ("Terms") govern your access to and use of Verify Pay's payment verification services, including our website, APIs, Android application, and SDKs (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.

2. Description of Service

Verify Pay provides an automated payment verification infrastructure for mobile financial services in Bangladesh (bKash, Nagad, Rocket, Upay). The Service includes:

• An Android application that captures payment notifications
• A matching engine that verifies payments based on notification data
• REST APIs for creating and managing payment requests
• A web dashboard for monitoring and analytics
• SDKs for integrating with your applications
• Webhook notifications for real-time updates

3. Account Registration

You must provide accurate and complete information when registering. You are responsible for maintaining the security of your account credentials and API keys. Notify us immediately if you suspect unauthorized access.

4. API Usage

4.1 Rate Limits

API usage is subject to rate limits based on your plan:

• Free: 100 requests/hour, 10 verifications/day
• Pro: 5,000 requests/hour, 1,000 verifications/day
• Enterprise: Custom limits

4.2 Prohibited Use

You may not:

• Use the Service for illegal activities or money laundering
• Attempt to reverse-engineer, decompile, or exploit the Service
• Share API keys publicly or with unauthorized parties
• Submit fake or fraudulent payment data
• Use the Service to process payments for prohibited goods/services
• Exceed rate limits or abuse the API

5. Payment and Billing

5.1 Plans

The Service is available in Free, Pro, and Enterprise tiers. Plan details and pricing are available at verifypay.eu.cc/pricing.

5.2 Billing

Pro and Enterprise plans are billed monthly. Payment is due at the start of each billing period. We reserve the right to suspend service for non-payment.

5.3 Refunds

We do not offer refunds for unused portions of a billing period. Contact support for exceptional circumstances.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our data collection and processing practices as described therein.

7. Disclaimer

IMPORTANT: Verify Pay is a payment verification tool, not a payment processor. We do not process, hold, or transfer any funds. We verify that a payment has been received by matching notification data against payment requests.

• We do not guarantee 100% accuracy in payment matching
• We are not responsible for failed or delayed payments
• We are not affiliated with bKash, Nagad, Rocket, or Upay
• Use of the Service is at your own risk

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Verify Pay SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

9. Intellectual Property

The Service, including its software, APIs, documentation, and branding, is owned by Verify Pay and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service as permitted by these Terms.

10. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time from the Dashboard settings. Upon termination:

• Your API keys will be deactivated immediately
• Payment data will be retained for 30 days, then permanently deleted
• Billing obligations remain for the current period

11. Modifications

We may modify these Terms at any time. Material changes will be communicated via email or dashboard notification. Continued use of the Service after changes constitutes acceptance.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes shall be resolved in the courts of Dhaka.
